INFORMATION REGARDING THE PARTIAL SETTLEMENT OF THE DIL REPRESENTATIVE ACTIONS

On March 24, 2021, the DIL Creditors Subcommittee (including the Plaintiffs in the proposed class proceedings, aka the "DIL Representative Action") entered into a Settlement Agreement with the Lutheran Church-Canada, Alberta-British Columbia District ("ABC District") and others (the "First Settlement Agreement"). The First Settlement Agreement was approved by the Court on November 25, 2021 and settlement proceeds were distributed to the members of the DIL Representative Action Class in early 2022.

On March 25, 2025, the DIL Creditors Subcommittee entered into a Second Settlement Agreement with the following defendants:

• Mr.Francis Taman and Bishop & McKenzie LLP, a Partnership; and
• John Williams, Ronald Chowne, and Prowse Chowne LLP, a Partnership
• (the "Second Settling Defendants").

On April 7, 2025, the DIL Creditors Subcommittee entered into a Third Settlement Agreement with Concentra Trust/La Societe Fiducie de Concentra (the "Third Settling Defendant").

Copies of the Second and Third Settlement Agreements (the "Settlement Agreements") are attached below. It is a term of both Settlement Agreements that the Consideration (money) payable by the respective Settling Defendants to the members of the DIL Representative Action Class shall remain confidential, subject to the discretion of the Court. Accordingly, the amount of the Consideration has been redacted from para. 1 of both Settlement Agreements.

Both the Second Settlement Agreement and the Third Settlement Agreement are subject to the approval of Justice G.H.Poelman of the Alberta Court of King’s Bench. On April 28, 2025, Justice Poelman ordered that the Plaintiffs’ application for approval of the Settlement Agreements, partial certification of the Alberta DIL Representative Action for the purposes of settlement, and payment of class counsel fees (the "Court Application"), shall be heard on _________ 2025.

Justice Poelman has approved a form of Hearing Notice, which has been sent by mail to all members of the DIL Representative Action Class. Mr.Justice Rooke has also issued a Hearing Notice Approval Order in the DIL Representative Action. Both documents are attached below. Please review these documents to learn how you may view and/or participate in the Court Application if you wish to do so.

If the Second and/or Third Settlement Agreements are approved by the Court, the DIL Representative Action will continue against only those defendants who are not parties to the Settlement Agreements, namely the Lutheran Church-Canada and Lutheran Church-Canada Financial Ministries.
